YuDoo Seller Agreement
General Terms
This is an agreement between you and the business you represent ("you") and Virgit Shopping Solution LLP and contains the terms and conditions that govern your access to and use of the services through particular account(s). By registering for or using the services, you (on behalf of yourself and the business you represent) agree to be bound by the terms of this agreement.
As used in this agreement, "we," "us," “Yudoo” and/or "Virgit" means/represents the Virgit Shopping Solution LLP. Capitalized terms have the meanings listed in the Definitions section.

1. Registration
Use of the Services is limited to parties that can lawfully enter into and form contracts under applicable Law. As part of the registration process, you must provide us with your and your business' legal name, address, phone number, e-mail address, bank account details, applicable tax registration details as well as any other information we may request. Any personal data you provide to us will be handled in accordance with YuDoo’s Privacy Policy. You may refer to the same on our website or Android/iOS App.
2. Term and Termination
The term of this Agreement will start on the date you completed registration for use of one or more of the Services and continue until terminated by us or you as provided below. You may at any time terminate your use of any Service immediately on notice to us via Seller Helpline, Email, WhatsApp or similar means. We may terminate your use of any Services or terminate this Agreement with 30 days’ advance notice for convenience.
We may suspend or terminate your use of any Services immediately if we determine that
- you have materially breached the Agreement and failed to cure within 7 days of a notice unless your breach exposes us to liability towards a third party, in which case we are entitled to reduce, or waive, the aforementioned cure period at our reasonable discretion;
- your account has been or may be used for deceptive or fraudulent or illegal activity; or
-
your use of the Services has harmed or might harm other sellers, customers, or YuDoo.
We will promptly notify you of any such termination or suspension via call or similar means, indicating the reason and any options to appeal, except where we have reason to believe that providing this information will hinder the investigation or prevention of deceptive, fraudulent, or illegal activity, or will enable you to circumvent our safeguards.
On termination of this Agreement, all related rights and obligations under this Agreement immediately terminate, except that - you will remain responsible for performing all of your obligations in connection with transactions entered into before termination and for any liabilities that accrued before or as a result of termination, and
- Sections 2, 3, 4, 5, 6, 7, 9, 12, 13 and 15 of these General Terms survive.
3. Licence
You grant us a royalty-free, non-exclusive, worldwide right and licence for the duration of your original and derivative intellectual property rights during the Term and for as long thereafter as you are permitted to grant the said licence under applicable Law to use any and all of Your Materials for the Services or other Virgit service, and to sublicense the foregoing rights to our Affiliates and operators of YuDoo Platforms; provided that we will not alter any of Your Trademarks from the form provided by you (except to re-size trademarks to the extent necessary for presentation, so long as the relative proportions of such trademarks remain the same) and will comply with your removal requests as to specific uses of Your Materials (provided you are unable to do so using the standard functionality made available to you via YuDoo Platforms); provided further, however, that nothing in this Agreement will prevent or impair our right to use Your Materials without your consent to the extent that such use is allowable without a licence from you or your Affiliates under applicable Law (e.g., fair use under copyright law, referential use under trademark law, or valid licence from a third party).
4. Representations
Each Party represents and warrants that:
- if it is a business, it is duly organized, validly existing and in good standing under the Laws of the territory in which your business is registered and are a resident of India for income tax purposes every financial year;
- it has all requisite right, power and authority to enter into this Agreement and perform its obligations and grant the rights, licences and authorizations it grants hereunder; and
- it will comply with all applicable Laws (including but not limited to procuring and maintaining applicable tax registrations) in its performance of its obligations and exercise of its rights under this Agreement.

5. Indemnification
5.1 You release us from, and agree to indemnify, defend and hold harmless us (and our officers, directors, employees, agents and Affiliates) against any third party claim, loss, damage, settlement, cost, taxes, expense or other liability (including, without limitation, attorneys' fees) (each, a "Claim") arising from or related to:
- your actual or alleged breach of any representations you have made;
- Your Shop(s), Your Product(s) (including the offer, sale, shipment, refund, cancellation, adjustments, or return thereof), Your Materials, any actual or alleged infringement of any Intellectual Property Rights by any of the foregoing, and any personal injury, death (to the extent the injury or death is not caused by Virgit) or property damage related thereto; or
- Your Taxes and duties or the collection, payment, or failure to collect or pay Your Taxes or duties, or the failure to meet tax registration obligations or duties; or
- your non-compliance with applicable laws.
5.2 Virgit’s indemnification obligations. Virgit will defend, indemnify, and hold harmless you and your officers, directors, employees and agents against any third-party Claim arising from or related to:
- Virgit’s non-compliance with applicable laws; or
- allegations that the operation of a YuDoo Platform infringes or misappropriates third party’s intellectual property rights
Process. If any indemnified Claim might adversely affect us, we may, to the extent permitted by applicable law, voluntarily intervene in the proceedings at our expense. No party may consent to the entry of any judgment or enter into any settlement of an indemnified Claim without the prior written consent of the other party, which may not be unreasonably withheld; except that a party may settle any claim that is exclusively directed at and exclusively affects that party.

6. Disclaimer
A. The Virgit-YuDoo platforms and services, including all content, software, functions, materials and information available or provided in connection with the services, are provided "as-is."
As a user of the services, you access YuDoo platforms, the services and any online portal or tool provided by Virgit to help you avail the services at your own risk.
Except as set forth in section 4 above, we and our affiliates waive and disclaim:
(1) any representations, warranties, declarations or guarantees regarding this agreement, the services or the transactions contemplated hereby, including any implied warranties, declarations or guarantees of merchantability, fitness for a particular purpose or non-infringement;
(2) implied warranties arising out of course of dealing, course of performance or usage of trade; and
(3) any obligation, liability, right, claim or remedy in tort, whether or not arising from our negligence.
We do not warrant that functions contained in YuDoo platforms or the services will meet your requirements or be available, timely, secure, uninterrupted or error free, and we will not be liable for any service interruptions, including, but not limited to system failures or other interruptions that may affect the receipt, processing, acceptance, completion or settlement of any transactions.
Some jurisdictions' laws do not allow exclusion of an implied warranty. In which case, the foregoing disclaimer may not apply to you, and we and our affiliates disclaim to the maximum extent permitted under applicable law all warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement or quiet enjoyment.
B. Because Virgit is not involved in transactions between customers and sellers or other participant dealings, if a dispute arises between one or more participants, each of you release Virgit (and its agents, affiliates and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
7. Limitation of Liability
We will not be liable (whether in contract, warranty, tort, delict (including negligence, product liability, any type of civil responsibility or other theory) or otherwise) to you or any other person for cost of cover, recovery or recoupment of any investment made by you or your affiliates in connection with this agreement, or for any loss of profit, revenue, business, or data or punitive or consequential damages arising out of or relating to this agreement, even if Virgit has been advised of the possibility of such costs or damages.
Further, except in case of gross negligence or willful misconduct, our aggregate liability arising out of or in connection with this agreement or the transactions contemplated hereby will not exceed at any time the total amounts during the prior six-month period charged to you by Virgit in connection with the particular service and the YuDoo platforms giving rise to the claim.
8. Tax Matters
Your use of Services is subject to applicable taxation norms. You will comply with applicable tax laws and fulfill all obligations to the tax authorities in a timely and complete manner.
For the matter of invoicing the customers for selling products, you will be responsible for the collection and payment of any and all of Your Taxes together with the filing of all relevant returns, such as service tax, VAT / CST, goods and services tax, cesses or other transaction taxes, and issuing valid invoices/ credit notes/ debit notes where required.
For the matter of invoicing you for the use of Services and invoicing the customers for the use of Services (i.e. COD), Virgit will deduct service charges added with applicable taxes from your products’ order related payments and make payments of all of applicable taxes together with the filing of all relevant returns, such as service tax, VAT / CST, goods and services tax, cesses or other transaction taxes. Moreover, your payments for your products’ orders will be deducted of applicable taxes (i.e. GST TCS, IT TDS) and the net amount will be transferred.
No claim in respect of the taxes deposited would be made by you against Virgit.
You are responsible for preparing, making and filing any tax audit report and statutory reports and other filings and responding to any tax or financial audits.
You will provide all necessary information including goods and services tax registered address, registration numbers, invoice mismatch details in a timely manner, to enable us to provide, report or correct goods and services tax invoices.
In case of any discrepancy in the reporting / returns filed by you and Virgit, you agree that you will resolve such discrepancy immediately and indemnify Virgit against any tax, interest and penalty payable in this regard.
9. Confidentiality and Personal Data
During the course of your use of the Services, you may receive Confidential Information. You agree that for the term of the Agreement and 10 years after termination:
- all Confidential Information will remain Virgit's exclusive property except for customer personal data owned by the respective customer;
- you will use Confidential Information only as is reasonably necessary for your participation in the Services and ensure that persons who have access to Confidential Information will be made aware of and will comply with the obligations in this provision; and
- you will not, and will cause your affiliates not to, directly or indirectly (including through a third party) otherwise disclose Confidential Information to any individual, company, or other third party, including any Affiliates, except as required to comply with law;
- you will take all reasonable measures to protect the Confidential Information against any use or disclosure that is not expressly permitted in this Agreement; and

you will retain Confidential Information only for so long as its use is necessary for participation in the Services or to fulfill your statutory obligations (e.g. tax) and in all cases will delete such information upon termination or as soon as no longer required for the fulfilment of statutory obligations. The foregoing sentence does not restrict your right to share Confidential Information with a governmental entity that has jurisdiction over you, provided that you limit the disclosure to the minimum necessary and explicitly indicate the confidential nature of the shared information to the governmental entity. You may not issue any press release or make any public statement related to the Services, or use our name, trademarks or logo in any way (including in promotional material) without our advance written permission, or misrepresent or embellish the relationship between us in any way.
You may not use any customer personal data (including contact information) for any purpose other than fulfilling orders or providing customer service in connection with a Service. You may not use such data in any way inconsistent with applicable law. You must keep customer personal data confidential at all time (the above 8 years’ term limit does not apply here).
10. Force Majeure
We will not be liable for any delay or failure to perform any of our obligations under this Agreement by reasons, events or other matters beyond our reasonable control.
11. Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will be construed to create a partnership, association of persons, sales representative, franchise, agency, franchise, joint venture, or employment relationship between the parties. Virgit is not an intermediary between the customer and the seller. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would contradict anything in this section. This Agreement will not create an exclusive relationship between you and us.
12. Suggestions and Other Information
If you or any of your Affiliates elect to provide or make available suggestions, comments, ideas, improvements, or other feedback or materials to us in connection with or related to the YuDoo Platforms or Services, you will, to the extent necessary and authorized by law, irrevocably grant to us, a royalty-free and worldwide license on all right, title, and interest in and to the suggestions for the duration of protection of the underlying rights. In order to cooperate with governmental requests, to protect our systems and customers, or to ensure the integrity and operation of our business and systems, we may access and disclose any information we consider necessary or appropriate, including but not limited to user contact details, IP addresses and traffic information, usage history and posted(submitted) content.

13. Modification
We will modify and update the agreement time to time and your continued use of Services will mandatorily require your agreement to the updated agreement. If you choose not to agree to the updated agreement, you will not be permitted to continue using the Services.
We may change or modify the agreement at any time with immediate effect (a) for legal, regulatory, fraud and abuse prevention, or security reasons; (b) to change existing features or add additional features to the Services (where this does not materially adversely affect your use of the Services); or (c) to restrict products or activities that we deem unsafe, inappropriate, or offensive. (d) for overall interest of YuDoo, the sellers or the customers.

14. Account Security
For YuDoo Sellers, account login is completely OTP based. We do not have password system. You are solely responsible for maintaining the security of your password. You may not delegate the access to your account to any third party (other than third parties authorized by you to use Your Account in accordance with this Agreement) and are solely responsible for any use of or action taken in your account. If you believe your account is compromised, you should inform our seller support team immediately and get your account secured.

15. Miscellaneous
The laws of India govern this agreement and your use of the Services. Any dispute or claim of any nature relating in any way to your use of any Services covered under this agreement will be adjudicated through arbitration, by a sole arbitrator to be appointed by Virgit. The arbitral proceedings shall be conducted in accordance with the provisions of the (Indian) Arbitration and Conciliation Act, 1996 or such statutory amendments thereof (“Arbitration Act”). The arbitration proceedings will be conducted in Gujarati or Hindi or English and the venue of the arbitral proceedings shall be Ahmedabad, India. Each party agrees that courts in Ahmedabad will have the sole and exclusive jurisdiction over all arbitral applications. The fast track procedures under the Arbitration Act will apply to all proceedings as stipulated.
You may not transfer or assign all or any portion of this Agreement, by operation of law or otherwise, without our prior written consent. Upon notice to Virgit, you may assign or transfer this Agreement, in whole or in part, to any of your Affiliates as long as you remain liable for your obligations that arose prior to the effective date of the assignment or transfer under this Agreement. You agree that we may assign or transfer our rights and obligations under this Agreement: (a) in connection with a merger, consolidation, acquisition or sale of all or substantially all of our assets or similar transaction; or (b) to any Affiliate or as part of a corporate reorganization; and effective upon such assignment, the assignee is deemed substituted for Virgit as the party to this Agreement. Subject to that restriction, this Agreement will be binding on, inure to, and be enforceable against the parties and their respective successors and assigns. We may perform any of our obligations or exercise any of our rights under this Agreement through one or more of our Affiliates. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to enforce such provision or any other provision of this Agreement subsequently.
Virgit retains the right to immediately halt any transaction, prevent or restrict access to the Services or take any other action to restrict access to or availability of any inaccurate listing, any inappropriately categorized shops or any unlawful items.
The authentic language of this Agreement and subsidiary or associated documentation shall be English and any translations provided are for convenience only. In the event of any conflict or difference in interpretation between the English language version of this Agreement and subsidiary or associated documentation and any translation of them, the English language version and interpretation shall prevail.
You agree that we may, in our sole discretion, disclose or make available any information provided or submitted by you or related to your participation under this Agreement (including information regarding Your Products or Your Transactions) to any judicial, quasi-judicial, governmental, regulatory or any other authority as may be required by us to co-operate and / or comply with any of their orders, instructions or directions or to fulfil any requirements under applicable Laws.
Virgit will provide notice to you under this Agreement through In-App Notifications and WhatsApp messaging. You must send all notices and other communications relating to Virgit to our seller support team via email or Contact Us form or WhatsApp messaging or similar means. We may also communicate with you in connection with your shop details, sales, and the Services electronically and in other media, and you consent to such communications. For contractual purposes, you consent to receive such communications through any mode including SMS, WhatsApp, phone calls etc. If at any time, now or in the future, you decide to change your preferences, contact our seller support team for assistance.

Please use YuDoo Seller App as the primary means of managing your orders and seller account. If any provision of this Agreement is deemed unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these terms and conditions and will not affect the validity and enforceability of any remaining provisions. This Agreement represents the entire agreement between the parties with respect to the Services and related subject matter described herein and supersedes any previous or contemporaneous oral or written agreements and understandings.
Definitions
"Affiliate" means with respect to any entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with, such entity, except with respect to Virgit, "Affiliate" means solely its Affiliates domiciled in India.
"Service" means any of the services that Virgit provides under the brand name of YuDoo, accessible through YuDoo platforms including Apps and website. These services include Sell on YuDoo, Payment and Shipping Services, Marketing and others.
"Your Materials" means your trademarks, content, required shop/product information, data, materials and other items provided or made available by you to Virgit or its Affiliates.
"Your Product(s)" means all the products you are intended to sell and actually sell over YuDoo Platforms. This includes product(s) you make available to Virgit for advertisement.
"YuDoo Seller(s)" means the person registering with YuDoo as a seller, for sell purpose.
"Your Shop(s)" means your shop(s) that you list over YuDoo Platforms for online business.
"Your Taxes" means any and all value added, service, sales, use, excise, import, export, goods and services tax and other taxes and duties assessed, incurred or required to be collected or paid for any reason in connection with any advertisement, offer or sale of products by you on or through or in connection with the Services, or otherwise in connection with any action, inaction or omission of you or your Affiliates or your or their respective employees, agents, contractors or representatives. This defined term also means any of the types of taxes mentioned above that are imposed on or collectible by Virgit or any of its Affiliates in connection with or as a result of order shipment, refunds, seller payouts or other actions by Virgit.
"Your Trademarks" means Trademarks of yours that you provide to us: (a) in non-text form for branding purposes; and (b) separate from (and not embedded or otherwise incorporated in) any product specific information or materials.
"Your Transaction" means any sale of Your Product(s) through the YuDoo Platforms.
"YuDoo Platforms" means YuDoo website yudoo.co and YuDoo Android & iOS Apps.
Selling on YuDoo Platform Terms
1. Your Shop Listings and Orders
1.1 Shop and Product Information and Shop Listing
You will provide accurate and complete shop and product information, as requested within the Seller App and promptly update such information as necessary to ensure it remains accurate and complete at all times. You will also ensure that Your Materials, Your Products (including packaging) and your offer and subsequent sale of any of the same on the YuDoo Platforms comply with all applicable Laws (including all marking and labeling requirements) and do not contain any sexually explicit, defamatory or obscene materials or any unlawful materials.
Once approved by the on-boarding team, your shop should be visible and available in YuDoo Customer Apps. Your shop(s)’ placement in overall, trending, curated and/or categorized shop lists and/or search results will depend upon various factors including your customer reviews, response rate, response time, relevance to requirement, past performance, number of recent orders, order conversion ratio, and order return rate among others. We may provide options to move your shop placement higher by various means, including a “sponsored” tag.
Once you receive a customer video-call, it is completely up to you to fulfil their requirements and receive product orders. We do not influence order conversion. Based on customer feedback post a video-call interaction, your shop rating might change. You must try your best to maintain a high rating (4.5-5) to increase your likeliness for a preferred placement in the shop list(s).
1.2 Customer Interactions, Product Carting and Order Creation
Customer interactions happen over a live in-app video-call initiated by the customer or you. These interactions must be treated at par with walk-in physical customer visits in your shop. The visitor might be a serious buyer or just an explorer. In both cases, your behavior should be sincere, friendly, helpful, professional and acceptable by all means. Our aim is to open possibilities for remote sales across the nation and later catering to abroad markets. An outstanding shopping experience leads to a number of new visitors through mouth-to-mouth publicity.
Any complaints from the customers regarding behavior or experience, if confirmed, will invoke serious penalties and even suspension of seller licence. We record and store video-call interactions to confirm validity of customer complaints.
You will be given training for optimum use of the Services and YuDoo Platforms. For any further assistance, our seller support team will be available at your disposal.
Based on your shop's appeal and the customer's need, they will connect with you. You will be showing available products as per customer's needs and try to sell them along with sharing necessary product details, making suggestions, sharing your thoughts, views, and resolving queries.
Customer(s) will ask you to shortlist certain products, which you will put in cart. You will also add supporting information including product image (captured as a video-call screen capture), quantity, price, packaged weight, etc. Once carting is completed and products are finalized, customer information will be filled by you or the customer. Make sure to double check customer details to avoid RTO cases. Also, mode of payment will be selected between online and cash-on-delivery. Moreover, you will enter any extra seller charges (i.e. packaging) that you want to collect from the customer.
Once the customer reviews product details, amounts, shipping charges, COD charges (if applicable) and seller charges (if applicable), they will confirm the order. They will either be taken to payment page (online payment option) or order confirmation page (COD payment option).
1.3 Packaging, Invoicing, Labeling and Shipping
Once an order is confirmed by the customer, it is considered as “placed”. For online payment orders, shipment option in enabled post the receipt of payment from the customer. For COD – cash on delivery orders, shipment option is enabled once an order is placed.
Proper packaging, invoicing and labeling is your exclusive responsibility. You will be provided with the details to be included in the customer invoice under service charge(s) headers. Our seller support team will try to assist you with invoicing, labeling and packaging, though they will not be responsible for any errors, omissions, etc. in the same. You may seek advice from your legal consultant for any queries. Make sure you abide by taxation and other applicable laws while preparing the order for shipment. We disclaim any liability in this regard.
You must, at any cost, keep sold product units separate after order confirmation to avoid the possibility of selling the same product units to two or more customers and facing stock-outs. If the seller does not ship or refuses to ship ordered products for any reason whatsoever, they are liable for penalty up to the value of the unfulfilled order and/or suspension of their account. This is to reduce customer dissatisfaction and inconvenience.
For online payment orders, you may take follow-ups with the customer for order payment, so that you do not need to keep ordered items on hold for a long time. If the customer wishes to cancel their order during this period, or any time before order pickup, they are free to do so without any penalties. In that case, you are free to sell those products to other customers.
Once the shipment option is enabled, you must raise shipping request at the earliest. In normal circumstances, this request must be raised within 3 hours. We also expect a successful order pickup to be done within 12 and anyhow within 24 hours. Any unjustifiable delays, based on frequency, may attract penalties in form of charges, effect on rating and/or account suspension.
At the time of order pickup, it is your and only your responsibility to get pickup confirmation signed and collected from logistic agent. In case of a lost order, pickup confirmation is the only proof we have about the successful pickup of your customer’s order, without which, it is very unlikely to be able to claim compensation for the lost order. In that case, you will need to solely bear the associated costs, which can be avoided mostly with a pickup confirmation.
Our logistics partner insures against lost or damaged shipments for a value upto Rs. 5000 per shipment. For products costlier than Rs. 5000, you should get them insured separately for the protection against a loss or damage. Virgit has no control over the shipping process, and thus disclaims any and all kinds of liabilities in the case of an uninsured shipment with an invoice value over Rs. 5000 being lost or damaged. Our seller support team may help you with finding a suitable insurance provider as far as they can, though that is not their responsibility.
1.4 Return-to-Origin, Order Returns and Refunds
For occasional Return-to-Origin (RTO) cases, our support team contacts the customer and tries to answer their troubles to avoid repeated RTO cases in future. For frequent RTO cases, our support team tries to address the customer’s concerns on a special priority basis. In case the RTO cases keep happening from the concerned customer, the admin will make a decision to penalize and/or suspend their rights to use YuDoo services.
In any case, the seller will solely bear the two-way shipping expenses.
Again, this will not allow the seller to showcase any kind of partiality or unacceptable behavior to the concerned customer. If such complaint is raised from the said customer, Virgit will take necessary and strict action against the concerned seller. Customer satisfaction will be our and should be the sellers’ top-most priority and we try to give customer benefit of doubt.
In case you feel the customer has no intent to purchase and keeps contacting your shop with no eventual purchase, you may contact the seller support team and we will look into it.
For customer’s complaint regarding the received products, they are required to contact the concerned seller over an in-app video-call and state their concerns. In case if you find their concerns to be accurate/genuine/acceptable, you raise a return request for that order through your seller App and a pick-up will be scheduled at the customer’s end. Here, the seller will bear two-way shipping expense and payment charges, if any.
In case if the seller does not find the customer’s concerns satisfactory, they may deny the return request. Here, the customer can contact our customer support team for resolution of their concern. The admin team will arbitrate the matter between the seller and the customer. Admin team’s decision will be final and binding on all parties. Here, the customer-seller video-call recording footage may also be studied for reference.
If you do not want to provide a return facility or if you follow a non-return policy, make sure to inform the customer about the same during your video-call interaction without fail. Even then, if the customer reaches out to our customer support team for a return and if the admin team confirms the genuineness of their claim, you will need to accept the return request.
Once a return is successfully concluded, the customer will be refunded their money. Later, we may incorporate options such as a credit note from the store.
You are required to record the unboxing video of the returned order to confirm the conditions of the returned items. In case there is any issues with the returned items, the video will be the sole proof of the same. Kindly reach out to seller support team for any kind of issues with the returned orders. The admin team will examine the matter and come to a conclusion. Accordingly the actions will be decided. Admin team’s decision will be final and binding on all parties.
2. Payment Terms
2.1 Order Payment Amount Bifurcation, Our Service Charges and Taxation
An order payment amount consist of product price, shipping charges, payment charges, seller charges, discounts, etc. Here, the you (seller) will receive product price and seller charges. Any pending penalties and/or shipping charges and/or payment charges related to RTO or returned orders to be paid by you (seller) will be deducted from this sum. This sum will also be deducted of applicable taxes and duties, if any.
Based on our mutual negotiation, we set a "%" of service charge for your shop(s), which will be updated time-to-time based on your performance, sales, ratings, our negotiation, etc. This service charge percentage ranges within 5% to 15% in most of cases. We operate a dedicated team for smooth and conflict-free seller-customer interactions, operations and spend considerable amounts in increasing customer base, for which, we charge a minimal amount.
While making an order payout to you, we will make necessary deductions including 1% of the invoiced amount each in form of GST TCS and IT TDS for tax compliance. You may download the certificates from YuDoo Seller App.
2.2 Mode of Payment, Payment Timeline
Payment will be made directly into your YuDoo registered bank account. You are solely responsible for submitting correct bank details. We will not pay for any losses owing to error in account details.
Seller payouts are made within 5 working days post the lapse of 2 days' return window. For any in-process dispute, the payment for those particular orders will only be made after successful conclusion of the matter. Also, Virgit may hold your payment for a finite period of time for reasons including but not limited to security matters and compliance.
3. Marketing and Customer Relations
3.1 Marketing, Customer Attraction and User Creation
Bringing National and later Global potential customer population to YuDoo Platforms is our responsibility. For that we will be investing heavily in various forms of marketing, brand building, awareness creation, etc. Also, there will be significant competitors to tackle, which will invoke further serious investments and efforts. We will constantly monitor our potential and existing customers and make efforts towards better retention and higher service standards. We will keep updating our platforms and services accordingly.
You can also market your shop, products, schemes, etc. on YuDoo Platforms. Also, we will have "sponsored" shop placements in categories, search results and trending lists. You may take benefit of the same. Kindly contact seller support team for rates, placements, durations and other terms.
3.2 Customer Relations Management, Customer Satisfaction
Customer relationship management is and will be our top-most priority. We will be in constant connect with our existing and potential customers with help of a dedicated team. They will reach out to the customers before and after a video-call, after a purchase, for pending payment, after order delivery, and at other times. We will hand-hold them through learning App operations and payment processes. We will be actively listening them for all kinds of suggestions, feedbacks, queries, complaints and more. We aim a 100% customer satisfaction and retention.
A good reputation will get you loads of sells increasing day by day. A bad one will take away your seller licence.
